Los rumores del mercado de la noticia publicada por Emo de InZearch.Fox y luego en el blog de Mariano Amartino y Gastón Bercun ya son oficiales al publicarse el Press Release en la página de IR de Mercado Libre.
Lo primero que viene a la mente es si USD 40 Millones es un buen deal o no.
Más allá de la consolidación y eliminación de la competencia restante, MercadoLibre hizo un excelente deal.
En el press release menciona que con la adquisición de deRemate, MELI agrega aproximadamente USD 95 Millones de “annual gross merchandise volume”. Si hacemos simples matemáticas, MELI movió USD 1.511 Millones el año pasado y su actual valuación (market cap) es de USD 1.310 Billones. Eso me dá que su valuación equivale aprox. a un 87% del gross merchandise volume del 2007. Si hacemos las mismas cuentas para el deal de compra de deRemate (USD 40 Millones de valuación / USD 95 de annual gross merchandise volume en el 2007) nos da un ratio del 42%. Quiere decir que MELI valuó a la mitad a deRemate en función de su gross merchandise volume.

MercadoLibre, Inc. Announces Agreement to Acquire Operations of DeRemate
BUENOS AIRES, Argentina, Aug 26, 2008 (GlobeNewswire via COMTEX News Network) --
MercadoLibre, Inc. (Nasdaq:MELI) (www.mercadolibre.com)
today announced that the Company has entered into an agreement to
acquire operations of DeRemate, an online trading platform, in
Argentina (www.deremate.com.ar), Chile (www.deremate.cl), Colombia (www.dereto.com.co) and Mexico (www.dereto.com.mx).
The aggregate purchase price to be paid by the Company to DeRemate, upon
the closing of the transaction, is $40.0 million. The acquisition is
expected to be completed during the third quarter; however the
completion of the transaction is subject to customary pre-closing
conditions. MercadoLibre will acquire DeRemate for $22.0 million in
cash and issue a promissory note to DeRemate for the remaining $18.0
million.
The acquisition is expected to significantly expand MercadoLibre's
footprint in Chile while strengthening the company's leadership
position in Argentina. DeRemate's Chilean and Argentinean operations
generated annual gross merchandise volume of approximately $95 million
in 2007. Management expects significant synergies between both
businesses to be realized, mainly through improving the monetization of
DeRemate's gross merchandise volume and by generating efficiencies in
operations and technology.
